We are seeking a high energy candidate with significant transactional experience.  The ideal candidate is goal-oriented and thrives in a deadline driven environment.

JOB SUMMARY:

The candidate’s initial reasonability will be to lead the divestitures of projects under development (pre construction opportunities) and secondarily to originate new opportunities.

  1. Divestitures
  • Prepare offering materials for sale and/or project financing of battery energy storage and solar PV assets
  • Lead the outreach to potential project buyers by utilizing the candidate’s industry network, making new contacts and leveraging the company’s existing relationships
  • Manage data rooms to ensure timely and accurate delivery of project information
  • Support buyer’s due diligence process via prompt response to all inquiries and information requests (requires experience managing cross functional teams of peers)
  • Lead contract negotiations to ensure profitable and timely completion of assigned transactions
  1. Other Transactions (e.g. PPAs, Build Transfer Agreements and Tolling Agreements)
  • Serve as manager responsible for thorough preparation and timely submittal of high quality proposals for new contracts
  • Manage cross functional teams of internal (e.g. engineering, financial analysis) and external resources (e.g. consultants and advisors) to ensure accurate, timely and competitive submittal of proposals
  • In collaboration with the Sr. Financial Analyst, provide pricing recommendations, including assumptions and rationale to support the recommendation
  • Lead contract negotiations
  1. Weekly and Monthly Reporting
  • In collaboration with the Executive Vice President of Business Development, prepare weekly and monthly reports

PROFESSIONAL QUALIFICATIONS:

  • Bachelor’s degree in Business, Engineering or other relevant area of study
  • MBA preferred
  • Five plus (5+) year’s experience in a similar role within the independent power, utility or renewable energy sector
  • Although not required, preference will be given to candidates with recent experience related to financial modeling involving tax equity partnership flip transaction structures and battery energy storage projects

Paralegal Specialist

Reports to:  Legal Counsel

We are seeking an experienced transactional/commercial Paralegal Specialist to provide legal support to this growing organization in a fast-paced environment. This position is located in San Antonio, Texas and provides a perfect opportunity for a legal professional looking for interesting and stimulating work with a medium-sized cohesive team which offers the ability to expand one’s knowledge, legal and professional skills, and specialized experience, while at the same time contributing to the company’s success.

JOB SUMMARY:

Under general supervision by the Company’s Legal Counsel, the Paralegal Specialist performs a wide range of real estate, corporate and transactional support services to assist the legal department in specialized areas of law including, but not limited to, legal research, drafting, preparing and processing of various legal documents, and handling other legal matters and practical day-to-day aspects of the company’s legal work as determined and assigned by the Legal Counsel and/or the General Counsel.

ESSENTIAL FUNCTIONS:

  • Draft, review, file, organize, and track, respectively and as applicable, various types of legal contracts, including, without limitation, supply chain agreements, master services agreements, confidentiality and non-disclosure agreements, licenses, real property documents, financing agreements, various forms of purchase and sale agreements, general corporate governance documents, and other legal documents for review by the Legal Counsel and/or General Counsel
  • Manage and keep track of the administration of the company and its various affiliate entities, including organizing, filing and safe-keeping of accurate corporate governance books and records, filing corporate entity formations, foreign state qualifications and other registrations, and manage, track and assist with any applicable annual corporate filings
  • Perform legal research, including regulatory research concerning permits, licenses, approvals and financial incentives for solar power or battery energy storage facilities
  • Under Legal Counsel supervision, work together with Director of Operations and Maintenance to provide support with the separate legal compliance matters
  • Under Legal Counsel supervision, create and manage the document management system for legal documents
  • Assist with administration of and compliance with active contracts, and establish and maintain legal compliance “tickler” system
  • Process invoices and purchase orders as needed
  • Support outside legal counsel as directed by Legal Counsel and/or General Counsel
  • Respond, in a timely and responsive manner, to Legal Counsel, General Counsel, executive leadership team and other clients regarding their respective inquiries
  • Provide such additional support to the Legal Counsel and/or General Counsel as requested from time to time

QUALIFICATIONS:

  • Bachelor’s Degree from regionally accredited university and satisfactory completion of ABA-approved Corporate Paralegal Certificate Course required
  • Three plus (3+) years of corporate paralegal experience required (experience may be substituted for education and vice-versa on a case by case basis)
  • Excellent communication (written and verbal), technical, analytical, problem solving and decision-making skills required
  • Mature judgment, positive work attitude and ability to work independently required
  • Ability to conduct oneself and maintain a high degree of confidentiality and professionalism required
  • Superior organizational and document skills required
  • Project and/or case management skills, including a strong aptitude for managing and prioritizing multiple concurrent projects and deadlines required
  • Experience with corporate and/or transactional law required
  • Background with environmental and real estate law preferred
  • Knowledge of the solar and energy industry, policy, laws and regulations preferred

Accounting Manager

JOB SUMMARY:

Under minimal supervision, the Accounting Manager is responsible for the day-to-day accounting operations (accounts payable, accounts receivable, fixed assets, general ledger management).  The Accounting Manager would also help with reviewing and producing account reconciliations and performing financial analysis.

ESSENTIAL FUNCTIONS:

  • Oversee the monthly closing and reporting process ensuring all required transactions are recorded in the monthly results and appropriately distributing financial statements to Management Team, Bank et al.
  • Assist with management of project expenditures.
  • Assist the Controller with the annual budget which entails working with budget holders to help ensure a close integration between organizational plans and the budget.
  • Assist the Controller with monitoring budget to actual revenue and expenditures and working with budget holders to analyze and report on variances.
  • Identify areas needing improvement in financial accounting and operational procedures and effectively communicating these value-added solutions to the Controller.
  • Assist the Controller in the planning and integration of M&As.
  • Maintain internal controls.
  • Maintain general ledger, including journal entries and account reconciliations.
  • Responsible for recording the cost of under construction and newly-acquired fixed assets, tracking existing fixed assets, recording depletion, depreciation and amortization and accounting for the disposition of fixed assets.
  • Responsible for reviewing/processing monthly invoices to customers and recording cash
  • Assist with filing of various Government Forms as
  • Participate in various job duties/responsibilities and special projects as directed or determined on own initiative.
  • Supervise the work of direct reports

QUALIFICATIONS:

  • Bachelor’s degree in Accounting, Finance, or related discipline; advanced degree or MBA a plus
  • Five plus (5+) years of Accounting experience
  • Experience working in a power generation/renewable or manufacturing organization is a plus
  • Experience in full financial reporting, accounts payable, accounts receivable, and fixed assets a plus
  • Previous experience working with Partnerships and/or LLCs
  • Background in Construction and/or Renewable industry a plus
  • Strong analytical and problem resolution skills
  • Self-starter with effective interpersonal and communication skills
  • Ability to multi-task and work in a growing team environment
  • Working knowledge of Microsoft Excel, Word, and Oracle
  • Prior supervisory/management experience including strong interpersonal, leadership and communication skills
  • Ability to lead, as well as effectively participate on a team

Interconnection Engineer

With a rapidly expanding portfolio of projects in MISO and other key North American markets, we are seeking a highly motivated Interconnection Engineer to join our dynamic team. This position offers a unique opportunity to contribute to our organization’s growth while gaining hands-on experience in cutting-edge renewable energy projects.

Job Summary:

As an Interconnection Engineer reporting to the Director of Interconnection, you will play a crucial role in the full lifecycle of utility-scale solar and battery projects. Your responsibilities will encompass all aspects of the interconnection process, including site selection, managing interconnection applications, performing power flow studies, and conducting economic modeling. You will also oversee the design, specification, scheduling, testing, and commissioning of projects.

Essential Functions:

  • Track, manage, and support the company’s project portfolio across all phases of the project’s lifecycle, ensuring effective communication with TSPs, ISOs, internal teams, consultants, and other stakeholders regarding interconnection studies, applications, tests, and other project needs.
  • Conduct power flow modeling, interconnection analyses, economic assessments, and utility coordination to identify optimal locations and sizes of future projects.
  • Perform transmission analysis to evaluate constraints, congestion, and curtailment risks of points of interconnection.
  • Assist with the review and negotiation of interconnection agreements, including technical exhibits and specifications.
  • Oversee preliminary design and development of single-line diagrams for interconnections.
  • Develop schedules and milestones in coordination with the master project schedule and EPC timelines.
  • Monitor engineering, procurement, and construction of interconnection facilities that are performed by contractors or utilities, and coordinate and lead related calls.
  • Attend ISO meetings and provide updates on projects or changes that may affect the project pipeline.
  • Assist in the registration of generators with utilities, RTO/ISOs and other regulatory agencies.
  • Support ISO, NERC, FERC, and other regional compliance efforts.

Qualifications:

  • Bachelor’s degree in Electrical Engineering, Computer Engineering, or Computer Science.
  • Strong problem-solving skills, a detail-oriented mindset, and the ability to think strategically.
  • Strong written and verbal communication skills.
  • Ability to manage time effectively and prioritize tasks to meet project deadlines.
  • A self-starter with the capacity to work independently and deliver on key objectives.
  • Experience with PowerWorld, PSSE, PLEXOS, or other power flow and PCM software is preferred.
  • Programming experience, particularly with Python, is preferred.
  • Familiarity with interconnection processes, particularly within the ERCOT or MISO markets, is preferred.
  • Knowledge of technical concepts such as reliability, stability, congestion, curtailment, LMPs, etc. is preferred.
  • Substation design experience is preferred.
  • Familiarity with ISOs/RTOs, TSPs, Developers, and other market participants is preferred.
  • Knowledge of Battery Energy Storage Systems (BESS) is preferred.
